Terms of Service
1. Who these terms are with
These terms are between you and Cadvix, a partnership established in Israel, VAT registration 558585436, at Edar 35, Modi'in 7177072, Israel. In these terms "Cadvix", "we" and "us" mean Cadvix and any successor or assignee to which these terms are transferred under section 20.
They cover the website at cadvix.com, the CADVIX desktop application, the CADVIX designer, and the services that support them, together "CADVIX". By installing or using CADVIX, or by joining or buying through our checkout, you accept them. If you are agreeing on behalf of a business, you confirm you may bind that business.
The End User Licence Agreement governs the licence to the software itself, and the Data Processing Agreement governs the records you keep about your own clients. Both form part of these terms. How we handle personal data is set out in our Privacy Policy.
2. Who CADVIX is for
CADVIX is sold to businesses: joiners, cabinet makers, kitchen designers and the people who work with them. It is not a consumer product. You must be 18 or over.
3. Your account and seats
You need an account to use CADVIX. Keep your password to yourself, and tell us promptly if you think someone else has it. What happens under your account is your responsibility.
A business buys seats, from one to twenty-five. A seat is one person. A person may install CADVIX on the computers they work on, and is signed in on one computer at a time: signing in on a second ends the session on the first, with a message saying so. Two people may not share a seat, and a business may not have more people working in CADVIX than it owns seats for.
4. Subscriptions and payment
Subscriptions are sold by Paddle.com Market Ltd as merchant of record. Paddle's terms govern the transaction, Paddle issues your invoice and handles VAT, and we never see your card.
The price, the currency, the VAT treatment and any free period are those stated at the checkout when you buy. A card is taken at the checkout and is not charged until any free period ends; cancelling before it ends costs nothing. The subscription then renews automatically each month until you cancel, and you authorise Paddle to charge your payment method for each renewal.
Changes to price and plans. We may change prices, plans and what each plan includes, including charging separately for AI-assisted features or for use beyond an allowance. We will tell you by email at least 30 days before a change applies to your subscription. If you do not accept it, you may cancel before it takes effect. A beta tester's price is always half of the public price, as the Beta Tester Agreement says, so it changes only when the public price changes.
If a payment fails, everyone in your business keeps working while Paddle tries again. If it is not resolved, the subscription moves to a state where you can still open, read and export everything you have made, and new work stops. We do not lock you out of your own work over a failed card.
Cancellation and refunds are covered by our Refund Policy.
5. What you may and may not do
You may install and use CADVIX for your own business's work, on the computers the people holding your seats work on.
You may not:
- resell, rent, sublicense or host CADVIX for anyone outside your business;
- reverse engineer it, except where the law says you may despite this term;
- remove or work around the licensing checks, the seat limit or the version gate;
- remove or obscure our notices and marks;
- share one seat between people;
- use CADVIX, or Cadvix AI, to break the law, to hold data you are not entitled to hold, or to produce anything unlawful, infringing or harmful.
6. Your work belongs to you
Your designs, your client records and everything you make in CADVIX are yours. We claim no ownership of them.
The licence you give us. You grant us a limited, non-exclusive licence to host, copy, transmit and process your content only as needed to provide the features you use, including through our third-party service providers, to find and fix problems, and to improve CADVIX as the Privacy Policy describes. You also grant us a perpetual, worldwide, royalty-free licence to create and use de-identified design and usage data as section 6 of the Privacy Policy sets out. That licence never covers data received from Google's services.
What leaves your computer. Most of your work stays encrypted on your own computer, and we cannot read it. Some things do reach us, readable: daily usage counts, crash reports, the problems and ideas you send, session packages from the designer, and Cadvix AI's requests. Section 5 of the Privacy Policy describes each one, and a manager can turn each off in CADVIX, Settings, Privacy, at any time.
Your backup and your recovery copy are your responsibility. CADVIX backs up to a folder you choose, or to your own Google Drive, and tells you plainly when a backup has stopped working. Your recovery copy is split in two: you hold one half and we hold the other, and neither half opens anything on its own. If you lose your half and every one of your computers, your data cannot be recovered by us or by anyone.
Ideas and feedback. Anything you tell us about CADVIX, including an idea, we may use to improve it, without obligation or payment.
7. Cadvix AI
Cadvix AI is an assistant in the designer that answers questions and, when you ask it to, changes the design. It is on for every business unless a manager turns it off.
- It is provided by third-party AI providers. Your requests are sent to them to produce each answer, as the Privacy Policy describes. We may change, replace or withdraw a provider, a model or the feature itself, under section 9.
- Its answers can be wrong. It can misread a request, propose a change you did not want, or state a dimension that is not right. You remain responsible for every design you approve and every figure you rely on, as section 12 says.
- Allowance. Each seat adds to a monthly allowance of AI design changes, shared across your business and shown in the software. We may offer more for a charge.
- Use it lawfully. Do not use it to produce anything unlawful or harmful, to try to extract its instructions, to overload it, or to put more of your clients' personal details into it than the task needs. Please keep clients' details out of the conversation.
- What it produces is yours to use in your business, as far as anything it produces can be owned, and you are responsible for how you use it.
8. Our software belongs to us
CADVIX, its code, its interface and its name remain ours. Your subscription is a licence to use it, set out in the End User Licence Agreement, not a transfer of anything.
9. Changes to CADVIX and to these terms
We keep developing CADVIX. We may add, change, replace or remove features, including Cadvix AI and the third-party providers behind it. Where a change materially reduces what you have paid for, or a change to these terms matters to you, we will tell you by email at least 30 days beforehand. Where a third-party provider, a security issue or the law requires a faster change, we will tell you as soon as we reasonably can. Carrying on using CADVIX after a change takes effect means you accept it. If you would rather not, cancel.
10. Availability
CADVIX keeps working on your computer for most of what a designer does when our services are unavailable. Signing in, and opening a kitchen for editing when your business uses more than one computer, need our services. Cadvix AI needs our services and our AI providers. We do not promise a particular level of availability during the beta.
11. Warranties
We provide CADVIX with reasonable care and skill. Beyond that, and as far as the law allows, it is provided as it is. During the beta in particular, expect faults.
12. A design and sales tool, not a manufacturing one
CADVIX is a design, sales and visualisation tool. It is not a manufacturing, production or CNC tool, and nothing it shows or exports, including anything Cadvix AI proposes, is a manufacturing instruction. Dimensions, specifications and drawings must be independently checked before anything is cut, machined, ordered, built or installed. The software does not know your site conditions, your tolerances or the regulations that apply to the job. You remain responsible for verifying every measurement and specification.
13. Liability
Nothing here limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.
Subject to that, we are not liable for lost profits, lost business or indirect loss, and our total liability in any 12-month period is limited to the greater of what you paid us in that period and £1,000.
Back your work up. It lives on your computer. Losing that computer without a copy means losing the work, and we cannot recover what we never held.
14. Data protection
How we handle personal data is set out in the Privacy Policy. Where you keep records about your own clients in CADVIX, you are the controller and we are your processor, under the Data Processing Agreement.
15. Indemnity
You agree to indemnify Cadvix, its affiliates, and their partners, directors, officers, employees, agents and licensors against claims by third parties, and the reasonable costs of defending them, to the extent they arise from your breach of section 5 or section 7, or from content you put into CADVIX infringing someone else's rights. This does not apply to the extent a claim arises from our own breach or negligence.
16. Ending it
You may cancel at any time, in your Paddle account. Your subscription runs to the end of the period you have paid for. We may suspend or end an account that breaks these terms, that is being used unlawfully, or where payment has failed and stayed unresolved. Where we can, we will warn you first and give you a chance to put it right. In every case you keep access to open, read and export your own work.
17. Force majeure
Neither party is liable for a failure or delay caused by events beyond its reasonable control, such as natural disasters, war, epidemics, attacks on computer systems, the failure of internet infrastructure or of a third-party cloud or AI service, or government action. The affected party will tell the other promptly, take reasonable steps to limit the effect, and resume as soon as it can. If such an event lasts more than 60 days, either party may end the affected services by written notice. This clause does not excuse payment for services already provided, does not affect your refund rights, and does not reduce our obligations under data protection law.
18. Law and jurisdiction
These terms are governed by the laws of the State of Israel, and the competent courts in Tel Aviv-Jaffa have exclusive jurisdiction. This does not remove any protection that the law of the country where your business is established gives you and that cannot be excluded by agreement, and it does not change the data protection law that applies to our processing of your personal data.
19. General
If a term is found unenforceable, the rest stands. Not enforcing a term once does not waive it. These terms, with the documents they name, are the whole agreement between us about CADVIX.
20. Transfer
You may not transfer these terms without our consent. We may transfer or assign these terms, and any of our rights and obligations under them, without your consent: to a company we control, are controlled by or are under common control with, including a company established to carry on the Cadvix business; or to anyone who acquires all or part of our business or assets, whether by sale, merger, reorganisation or otherwise. We will tell you when this happens.
